Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of cruxy.in and any service provided under the Cruxy brand (the "Service"). The Service is operated by mycrux. Private Limited ("Cruxy", "we", "us", "our"), a private limited company incorporated in Andhra Pradesh, India (CIN: U47912AP2025PTC121345).

By accessing the Service, signing up for the waitlist, submitting a contact form, or using any feature, you agree to these Terms. If you do not agree with any part of these Terms, you must not use the Service.

These Terms apply to the marketing site and waitlist available at cruxy.in. Additional terms will apply when account-based features, paid plans, and the AI services launch publicly. We will publish those additional terms before the relevant features become available, and you will need to accept them separately to use those features.

The Service

Cruxy is an artificial intelligence platform being built by mycrux. Private Limited. The current marketing site at cruxy.in provides information about the upcoming Service and accepts waitlist signups and contact-sales inquiries. The full Service - including AI model access, developer APIs, billing, account management, and team features - is in pre-launch and not yet available to the public.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will provide reasonable notice for material changes that affect existing users. We may also limit availability of the Service to specific countries, account types, or use cases at our discretion.

Beta and preview features may be made available from time to time. Such features may be unstable, may change without notice, and may be removed entirely. By using a beta or preview feature, you accept the additional risk and provide feedback at our request.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that:

• You meet the minimum age requirement.
• You have the legal capacity to enter into binding agreements.
• If you are using the Service on behalf of a company or other legal entity, you have authority to bind that entity to these Terms.
• You are not currently barred from using services in India by court order, regulator, or applicable law.
• You are not located in, or a resident of, any jurisdiction that prohibits the use of services like Cruxy under local law.

We may verify these representations at any time and may suspend or terminate your access if any of them are not true.

Your account

The marketing site does not currently require account creation. We collect only the email address you provide for the waitlist, plus any details you submit through the contact-sales form.

When account-based features launch, you will need to create an account and provide accurate registration information. You will be responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

Account-related features will include security options (multi-factor authentication, session management) and we strongly recommend enabling them when they become available.

You may not transfer, sell, lend, or otherwise share your account with another person. Each account is for individual or single-organization use. Team and enterprise plans will allow appropriate sharing under their specific terms.

Acceptable use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Attempt to access any system, account, or data that does not belong to you.
• Submit false, misleading, or fraudulent information.
• Impersonate another person, organization, or entity.
• Send unsolicited promotional emails (spam) using information obtained from us.
• Reverse engineer, decompile, or otherwise attempt to extract the source code, model weights, or training data of the Service.
• Use automated tools (bots, scrapers, scripts) to access the Service without our express written permission, except for clearly identified search-engine crawlers respecting our robots.txt.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Bypass rate limits, security measures, or content filters.
• Use the Service to develop a competing artificial intelligence product or service.
• Conduct any activity that could harm Cruxy, other users, or third parties.

Specific rules for using AI-generated output, when AI features become available, are described in our Usage Policy. The Usage Policy is incorporated into these Terms by reference.

Violation of these acceptable use rules is grounds for suspension or termination of your access. We may also report serious violations to law enforcement where required by law.

Your content

"User Content" means any information, data, prompts, files, code, text, or other material you submit to the Service. Examples include the email address you provide for the waitlist, the description you write in the contact-sales form, and (when AI features launch) any prompts or files you submit to AI models.

You retain all rights to your User Content. By submitting User Content to the Service, you grant mycrux. Private Limited a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, store, and process that User Content solely as necessary to provide the Service to you. This license ends when you delete the User Content or close your account, except as needed to comply with legal obligations.

You are responsible for the User Content you submit. You represent and warrant that you have the necessary rights to submit it and that doing so does not violate any law, third-party right, or these Terms.

We do not screen User Content in advance, but we reserve the right to remove any User Content that violates these Terms, our Usage Policy, or applicable law. We may also disclose User Content where required by law, court order, or to protect Cruxy or others from harm.

AI-generated output

When the Service provides AI-generated output in response to your prompts, the following terms apply:

• Subject to your compliance with these Terms and the Usage Policy, you own the output generated from your prompts. You may use it, modify it, distribute it, and commercialize it.
• AI output is not always accurate. Models may produce factual errors, biased content, or output that is misleading. You should not rely on AI output for decisions with legal, medical, financial, or safety implications without independent professional verification.
• We do not warrant that AI output will be unique to you. Multiple users may receive similar or identical outputs in response to similar prompts. You should not assume copyright protection extends automatically to AI output.
• You are responsible for how you use AI output. If you publish output as your own, you should review it for accuracy, originality, and compliance with applicable law.
• We may decline to generate output for certain prompts, in line with our Usage Policy and our internal safety guidelines.

Intellectual property

mycrux. Private Limited retains all rights, title, and interest in the Service, including:

• The Cruxy name, logo, and all related branding.
• The cruxy.in website and all software powering the Service.
• The model architectures, model weights, training methodologies, and underlying technology.
• The look, feel, design, and copy of the marketing site and product interface.
• All documentation, marketing materials, and code samples.

Nothing in these Terms grants you any right to use Cruxy's trademarks, branding, or proprietary technology, except as strictly necessary to use the Service. You may not remove or obscure any copyright, trademark, or other notices in the Service.

If you submit feedback, suggestions, or ideas about the Service, you grant Cruxy a perpetual, irrevocable, royalty-free license to use that feedback for any purpose. You will not be entitled to compensation for feedback.

Fees and billing

The current marketing site and waitlist signup are free to use. There are no fees associated with being on the waitlist or submitting a contact-sales inquiry.

When paid plans become available, the following will apply:

• Pricing will be displayed clearly before you commit to a paid plan.
• Payment will be processed through authorized payment partners. The current planned partners include Razorpay (for UPI and Indian cards) and Stripe (for international cards).
• Subscriptions will renew automatically unless you cancel before the renewal date.
• You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds will be governed by our refund policy, which will be published when paid plans launch. Generally, we will offer pro-rata refunds for service outages we caused and full refunds within a short trial period for new subscriptions.
• Indian taxes (GST) will be added where applicable.

Detailed billing terms - including handling of disputes, chargebacks, failed payments, and price changes - will be published as a separate Billing Agreement before paid plans go live.

Privacy

Our collection, use, and protection of your personal information is described in our Privacy Policy, which forms part of these Terms by reference. By using the Service, you also accept the Privacy Policy.

Termination

Either party may terminate this agreement at any time:

• You may stop using the Service at any time. To remove yourself from the waitlist or have us delete your information, email cruxy@mycrux.in.
• We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, the Usage Policy, or applicable law, or if continuing to provide the Service would expose us to legal risk.

Upon termination, the licenses you grant us in your User Content will end (subject to legal retention obligations), and your access to any account-based features will be revoked. Provisions of these Terms that by their nature should survive termination will survive - including intellectual property, disclaimers, liability limitations, and indemnification.

No warranty

The Service is provided "as is" and "as available". To the maximum extent permitted by Indian law, we disclaim all warranties - express, implied, or statutory - including:

• Warranties of merchantability or fitness for a particular purpose.
• Warranties of non-infringement.
• Warranties that the Service will be uninterrupted, error-free, secure, or produce specific results.
• Warranties about the accuracy, reliability, or quality of any information or AI output obtained through the Service.

No advice or information you obtain from us, whether through the Service or otherwise, creates a warranty not expressly stated here.

Some jurisdictions do not allow the exclusion of certain warranties. Where such exclusions are prohibited, the disclaimers above apply only to the extent permitted by local law.

Limitation of liability

To the maximum extent permitted by Indian law, Cruxy and its directors, employees, agents, and service providers will not be liable for:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages.
• Any loss of profits, revenue, business, opportunity, data, goodwill, or anticipated savings.
• Any damages arising from your use or inability to use the Service.
• Any damages arising from your reliance on AI-generated output.
• Any damages arising from unauthorized access to or alteration of your information.

Our total cumulative liability to you for any claim arising from or related to the Service will not exceed the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) ₹1,000 (one thousand Indian Rupees).

These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose. The limitations form an essential part of the agreement between us.

Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, gross negligence, or willful misconduct.

Indemnification

You agree to indemnify, defend, and hold harmless Cruxy, mycrux. Private Limited, and their respective directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your violation of these Terms or the Usage Policy.
• Your User Content.
• Your use or misuse of the Service.
• Your violation of any law or third-party right.
• Any dispute between you and a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Any dispute arising from or related to these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts in Andhra Pradesh, India.

Before initiating any formal legal action, you agree to first contact us at cruxy@mycrux.in to attempt good-faith resolution of the dispute. We will respond within 30 days. Many disputes can be resolved quickly through direct communication, and we encourage you to try that path first.

Changes to these terms

We may update these Terms over time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Email subscribers to the waitlist or active users (where the change materially affects them).
• For significant changes affecting paid plans or AI services, provide notice at least 30 days before the changes take effect.

Your continued use of the Service after a Terms change becomes effective constitutes acceptance of the change. If you disagree with a change, you may stop using the Service before the change takes effect.
